PAYMENT TERMS
A non-refundable deposit in the amount of 50% of the total cost is due upon executing this contract to secure the date and time slot of your event. This amount shall be applied toward the total contract. The remaining amount is due 5 days in advance of Client's Event. If the purchaser uses the equipment for a time period in excess of the service period agreed to in the invoice below, the overage in rental time will be billed to the purchaser at the following rate: $100 per hour. Payment for any overage in time must be paid before additional hours are provided. Client agrees that in addition to any and all other legal rights and remedies The NorCal Studio Booth may have, Client will pay a $50.00 fee for any and all returned checks which Client may write to The NorCal Studio Booth as payment for any service by The NorCal Studio Booth or rental equipment.

ACCESS, SPACE & POWER FOR STUDIO BOOTH
Purchaser shall ensure safe and appropriate on-site working conditions for the equipment and technician. This includes a 10-foot wide, 10-foot high, and 10-foot long area for setting up the Studio Booth, and no obstacles that will make delivery and setup of the Studio Booth unachievable on a wheeled cart. Outdoor venues permitted only when there is no rain and the wind does not prohibit use of the booth. Client agrees to have an indoor backup plan prepared in the case that outdoor weather is not suitable to run the Studio Booth. The Client will take full responsibility that the event location can accommodate the Studio Booth. Full rental will be charged if we cannot enter with building with the Studio Booth due to any restrictions. The Studio Booth has been designed to fit through a standard door frame to hopefully alleviate this issue. Client will confirm that the event location will provide a minimum of one 15-20-amp 110 volt circuit outlet from a reliable power source for the Studio Booth operation within 20 feet (along the wall) of set-up area. This circuit must be free of all other connected loads. Any delay in the performance or damage to the Studio Booth equipment due to improper power is the responsibility of the Client. If a scrapbook is to be assembled onsite, Client will request a skirted table to coordinate with the décor of the event to be provided by the event location. Purchaser is responsible for paying any charges imposed by the venue. These charges may include, but are not limited to, parking, special permits, and use of electric power.

DATE CHANGES & CANCELLATIONS
This agreement is for the date specified. Requests for a date change must be made in writing at least sixty days in advance of the original event date. Date change is subject to Studio Booth availability and receipt of a new Service Contract. If there is no availability for the alternate date, the deposit shall be forfeited and event cancelled. Any cancellation occurring less than thirty days prior to the event date shall forfeit all payments received. Cancellations made prior to 30 days will forfeit their 50% retainer.

DAMAGE TO PROVIDER’S EQUIPMENT
In the event of circumstances deemed to present a threat or implied threat of injury or harm to Studio Booth staff, or any equipment in The NorCal Studio Booth’s possession, The NorCal Studio Booth reserves the right to cease performance. If the Purchaser is able to resolve the threatening situation in a reasonable amount of time, The NorCal Studio Booth shall resume performance in accordance with the original terms of this agreement. Purchaser shall be responsible for payment in full, regardless of when the situation is resolved or whether The NorCal Studio Booth resumes performance. In order to prevent equipment damage or liability arising from accidental injury to any individual attending this performance, The NorCal Studio Booth reserves the right to deny any guest access to the Studio Booth or other equipment. It is hereby further agreed that the Client shall be held liable for any injury or damages to The NorCal Studio Booth attendant or property of The NorCal Studio Booth, while on the premises of said engagement, if damaged by the Client or guest, members of his organization, engagement invitees, employees, or any other party in attendance, whether invited or not.

INDEMNIFICATION
Client agrees to, and understands the following: All guests using the Studio Booth hereby agree to the terms of the client’s The NorCal Studio Booth Rental Agreement: The right and permission to copyright and use photographic portraits or pictures of any Studio Booth user who may be included intact or in part, made through any and all media now or hereafter known for illustration, art, promotion, or any other purpose. In addition, I hereby release, discharge and agree to save harmless The NorCal Studio Booth, from any liability, that may occur or be produced in the taking of said picture or in any subsequent processing thereof, as well as any publication thereof, including without limitation any claims for libel or invasion of privacy. In the event that inappropriate content is captured, recorded, printed, uploaded, witnessed, or exchanged, The NorCal Studio Booth is not held liable for any actions or content generated by these guests. Inappropriate content may be discarded at the discretion of The NorCal Studio Booth based on Photography Laws, and will not be published or stored. This agreement allows The NorCal Studio Booth the right to use any photo or video for portfolio and advertisement purposes. Content will be uploaded to a secure website for purchasing by your guests. A $50 fee will be charged to The Client for any photo asked to be removed from the online gallery, website or Facebook page. The NorCal Studio Booth shall not be liable for any other damages, whether direct or consequential. The Client hereby assumes and will indemnify and hold harmless The NorCal Studio Booth with respect to any loss or damage, including attorney’s fees claimed by third persons, provided that such loss or damage was not caused by the fault or negligence of The NorCal Studio Booth or its employees, agents, or subcontractors. The Client shall be responsible for the payment of The NorCal Studio Booth’s attorneys’ fees associated with the enforcement of The NorCal Studio Booth rights and remedies pursuant to this agreement. The laws of the State of California shall govern this Agreement and any dispute which arises under or in connection with this Agreement or the rental of The NorCal Studio Booth. The parties agree that this Agreement represents the entirety of the parties’ agreement and that this agreement may only be modified by a written document signed and executed by both parties.

ADDITIONAL TERMS AND CONDITIONS
The NorCal Studio Booth liability shall be exclusively limited to an amount equal to the performance fee and not be liable for indirect or consequential damages arising from any breach of contract. In the event the Client breaches the contract, he or she shall pay The NorCal Studio Booth the amount set forth by all inclusive package rates. Purchaser agrees to complete the online “Event Detail Form” no later than 2 weeks prior to the event date. This worksheet will provide The NorCal Studio Booth with timelines and setup location for the event.

Mileage is included up to 25 miles from downtown Redding, CA All additional miles will be billed at $.55 per mile to cover fuel costs and $15/h travel time incurred by our booth attendant.

Materials (logo, photos) for design printouts must be emailed to: info@norcalstudiobooth.com by no later than 2 weeks prior to your event.

In the event of non-payment by the due date, The NorCal Studio Booth retains the right to cancel the event.

This agreement guarantees that The NorCal Studio Booth will be ready to perform at the start time of the engagement. The NorCal Studio Booth requests that they be permitted one hour before the event and 45 minutes after the event for setup and takedown. By executing this contract as Purchaser, the person executing said contract, has agreed that he or she is eighteen (18) years of age, and he or she personally accepts and assumes full responsibility and liability under the terms of this contract. Purchaser agrees that the Studio Booth will not be setup or torn down in the same location as event while event is taking place and must provide time to setup before and after guests arrive and leave or provided a location that setup or tear down would not be an interference to the event or in view of guests. Setup times in advance of one hour prior to the run time will be billed at $20 per hour, rounded up to the nearest hour. Additional hours may be billed in the case event runs later than contracted time at the amount of $150 an hour to be paid in advance of the additional run-time.

THE PARTIES hereto promise to abide by the terms of this agreement and intend to be legally bound thereby.
